Research and technical development is part of the life blood of market economies. If a company wants to stay profitably in a business, let alone steal a march on its rivals in themarket or expand into new areas, it must seek out new or improved products or processes with which to attract the trade or custom. The company could carry out the research and/or development entirely within its own walls, so to speak, by its own employees or it might arrange for some or all of the necessary work to be done by an outsider, for example under contract by a specialist research organisation or a university department. If R&D is to be done by an outsider, or in collaboration with an outsider, then the company must ensure that the contract protects its interests within the bounds of competition law.
(2) Intermediate Technology Licensing Agreements Course (22 Jul 08)
The Intermediate Technology Licensing Agreements Course is a full day intermediate practical workshop that aims to deconstruct the complex technicalities involved in drafting an agreement by using case studies and real life scenarios.
The course will begin with a 1 hour review of the general rules and principles relating to technology licensing agreements, where the main elements of a typical agreement such as grant of licence, royalty terms, indemnities, termination, etc. will be discussed. After the review, participants will be assigned to teams to work on different tasks that involve analysing, advising and drafting contract provisions (clauses) relating to technology licensing.
At the end of this 1 day course, participants will gain a better understanding of key considerations when drafting clauses, and be better placed to identify poorly drafted clauses and resultant issues.
As this is an intermediate course, participants attending this course must be familiar with the basics of technology licensing agreements. Participants should have attended a basic technology licensing agreement course or have 3 years of working experience in a related area of work.
